Confidentiality Notice

I. Introduction

This Confidentiality Notice ("Notice") informs you, the Candidate, about the confidential nature of information disclosed by Uni Feedback ("Company") during the recruitment process. By participating in the recruitment process and clicking "I Agree," you acknowledge and agree to the terms outlined in this Notice.

II. Purpose

The Confidential Information provided to you is solely for recruitment purposes. It is intended to assist you in understanding the role and the Company better during the recruitment process.

III. Definition of Confidential Information

Confidential Information" refers to any non-public, proprietary, or sensitive information, whether oral, written, electronic, or in any other form, disclosed to you during the recruitment process. This includes, but is not limited to:

  • Business strategies and plans

  • Financial data

  • Technical specifications

  • Product designs and prototypes

  • Marketing strategies

  • Customer and vendor information

  • Personnel details

  • Any other information marked or identified as confidential

IV. Obligations of the Candidate

You agree to the following obligations regarding the Confidential Information: a. Non-Disclosure: You shall not disclose any Confidential Information to any third party without the prior written consent of the Company. b. Use Limitation: You shall use the Confidential Information solely for the purpose of participating in the recruitment process and not for any personal or external business purposes.c. Protection of Information: You shall exercise reasonable care to protect the confidentiality of the Confidential Information, at least equal to the care used to protect your own confidential information.d. No Copying or Distribution: You shall not copy, reproduce, distribute, or store any Confidential Information without the Company's prior written consent.e. Return or Destruction: Upon request by the Company or upon conclusion of the recruitment process, you shall promptly return or destroy all materials containing Confidential Information.

V. Intellectual Property Rights

All Confidential Information and any intellectual property rights therein are and shall remain the exclusive property of the Company. Nothing in this Notice shall be construed as granting you any rights, title, or interest in the Confidential Information, including any patents, copyrights, trademarks, or trade secrets. Any materials, ideas, suggestions, or test tasks submitted by you during the recruitment process become the property of the Company.

VI. Data Protection and Privacy

The Company is committed to protecting your personal data in accordance with applicable data protection and privacy laws, including but not limited to the General Data Protection Regulation (GDPR) for candidates within the European Economic Area (EEA). VII. Exceptions

The obligations set forth in this Notice shall not apply to any information that you can demonstrate: ‍ a. Was publicly available at the time of disclosure or becomes publicly available through no fault of your own. ‍ b. Was lawfully known to you prior to disclosure by the Company. ‍ c. Was independently developed by you without use of the Confidential Information. ‍ d. Was disclosed to you by a third party who had the legal right to make such a disclosure without any confidentiality obligations.

VIII. No Obligation to Hire

This Notice does not constitute an offer of employment or guarantee any future relationship between the Company and you. The Company reserves the right to discontinue the recruitment process at any time

IX. Electronic Signature and Acceptance

By clicking "I Agree" or proceeding with the recruitment process, you consent to the use of electronic signatures and agree that such electronic acceptance constitutes your acknowledgment and agreement to the terms of this Confidentiality Notice, in compliance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and other applicable electronic signature laws.

X. International Candidates and Governing Law

This Notice is intended to be valid and enforceable internationally. Regardless of your country of residence, this Notice shall be governed by and construed in accordance with the laws of [Specify Jurisdiction], without regard to its conflict of laws principles.

XI. Remedies

You acknowledge that any unauthorised disclosure or use of the Confidential Information may cause irreparable harm to the Company. In the event of a breach or threatened breach of this Notice, the Company shall be entitled to seek injunctive relief, in addition to any other rights and remedies available at law or in equity.

XII. Severability

If any provision of this Notice is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

XIII. Entire Notice

This Confidentiality Notice constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior communications and notices, whether oral or written, related to the recruitment process.
